Terms of service
Version 2026-09-11 · effective from that date
These terms govern use of Verdex at verdex.spatialsusty.com and its API. By creating an account, or by using the service on behalf of an organisation, you accept them for yourself and that organisation. They are provided by:
1. What the service is — and is not
Verdex is a decision-support platform. It screens plot geometries against satellite-derived land-cover and reference datasets and produces risk verdicts and an evidence packet to help operators prepare their Due Diligence Statement under Regulation (EU) 2023/1115 (EUDR).
It is not legal advice, not a regulator-approved verdict, not a guarantee that a product is deforestation-free or legally produced, and not a substitute for the operator's own obligations under EUDR Articles 8–13. You remain the responsible party. Verdicts carry a methodology version, data vintage and stated limitations (see Methodology & transparency); read them. Outputs that depend on EU TRACES validation are marked as drafts until that validation is complete.
2. Accounts
- You must give accurate details, keep your password secret and tell us about any unauthorised use.
- Accounts are for organisations and their staff; you must be at least 18.
- We may suspend an account that threatens the security or integrity of the service, with notice where practicable.
3. Acceptable use
You agree not to:
- upload data you have no right to share, or more personal data than the EUDR requires;
- attempt to access another operator's data, probe or overload the service, or circumvent plan limits;
- present Verdex output as a regulatory approval or as a guarantee to buyers or authorities;
- use a Verdex risk verdict as the sole automated basis for a decision that significantly affects a farmer, cooperative member, worker or supplier — human review and a correction route are required;
- upload special-category (e.g. health, ethnicity, religion) or children's personal data — we quarantine such files and do not process them;
- resell the service or use it to build a competing dataset, except under a written partner agreement.
4. Plans, limits and fees
Features, monthly limits and retention depend on your plan. Limits are enforced by the service; work beyond a limit is not rejected but is not processed until the plan is changed. Paid plans, prices and billing terms are those published on the pricing page or in your order form; prices are set in USD and exclude taxes. Fees for a period already started are non-refundable except where the law requires it or where we have materially failed to provide the service. We give at least 30 days' notice of a price change, effective at your next renewal. We may change, throttle or withdraw the free tier on reasonable notice.
5. Your data and our processing of it
- You own your data. You grant us a licence to host, process and back it up solely to provide the service to you.
- For personal data in your uploads you are the controller and we are your processor (GDPR Art. 28 / Act 843 s.30): we process only on your documented instructions (using the service is an instruction), keep it confidential, apply the security measures in the Privacy policy, engage only the sub-processors listed there (30 days' notice of changes), help you answer data-subject requests, notify you of a personal-data breach without undue delay, delete or return data on termination, and make available the information needed to demonstrate compliance. A signed Data Processing Agreement on these terms is available on request.
- You warrant that you have a lawful basis to share the data, have given the people concerned an appropriate notice, and will upload pseudonymised identifiers wherever the analysis does not need names.
- You may export your data at any time in a machine-readable format. On termination you may request return or deletion; we comply within 30 days, except for evidence records kept under the 5-year EUDR record-keeping period and backup copies, which expire on their normal rotation.
- We keep aggregated, de-identified statistics (e.g. plots analysed per country) that cannot identify you or any farmer.
- Reference datasets (Hansen GFC, JRC TMF, WDPA and others) are third-party works used under their licences; we do not warrant them.
6. Intellectual property
The service, its methodology, software and documentation belong to Spatial Sustainability Hub or its licensors. Evidence packets generated for you are yours to use for your due diligence, including sharing with counsel, buyers and authorities, provided the methodology version and disclaimers stay attached.
7. Availability and changes
We aim for high availability but do not promise uninterrupted service. We may change the service; we will not materially reduce functionality you are paying for during a paid term without notice and the option to cancel with a pro-rata refund. Service-level commitments, if any, are in your written contract. Third-party datasets (Hansen, JRC TMF, WDPA and others) have their own resolution, update cycle and limitations, documented on the methodology page; we do not warrant them and will tell you if one becomes unavailable or changes materially.
8. Warranties and liability
The service is provided “as is”. To the extent the law allows, we exclude implied warranties and are not liable for indirect or consequential loss, lost profit, or regulatory penalties arising from decisions made on the basis of the output. Our total liability for any claim is limited to the fees you paid in the 12 months before the event, or USD 100 for free accounts. Nothing limits liability for fraud, wilful misconduct, death or personal injury, or anything that cannot be limited by law.
9. Termination
You may stop using the service and close your account at any time (erasure is described in the Privacy policy). We may suspend or terminate if you breach these terms, if your use presents a security risk, if payment is more than 30 days overdue, or if the law requires it — with notice and the reason unless that would itself create a security or legal risk. Sections 5, 6, 8 and 10 survive.
10. Governing law and disputes
These terms are governed by the laws of the Republic of Ghana. We will try to resolve any dispute informally first; failing that, the courts of the Republic of Ghana have jurisdiction, without prejudice to mandatory consumer or data-protection rights where you live.
11. Changes to these terms
We may update these terms; the version date at the top changes and account holders are e-mailed about material changes at least 14 days before they apply. Continued use after that date is acceptance. The version you accepted at signup is recorded on your account.
